代理契約書
AGENCY AGREEMENT
This agreement is made and entered into as of the ______day of ______(the date), by and between
    Agent Corporation (a company name), a company incorporated and existing under the laws of ______ (the company sets country name), having its address of _________(hereinafter referred to as “agent”).
And
    AAA corporation (a company name), a corporation organized under the laws of ______(the company sets country name), having its address at___________(hereinafter to as “AAA”). AAA is a company manufacturing industry machines(hereinafter refer to as the “products”).

    本代理店合同簽訂於______年______月______日，立約雙方分別是agent corporation (依據_____國法律所成立的股份有限公司。
設立地址為_______)(以下稱為”agent”) 和AAA corporation(依據_______國法所成立的股份有限公司。設立地址為:_____)

(以下稱為”AAA”)，AAA公司為生產工業用機器之公司(以下稱為”本產品”)。
    本合同雙方達成以下協議:

Witnesseth
   WHEREAS , the parties agree as follow.
Article I (Appointment)
1.1    AAA hereby appoints agent , during the terms of this agreement, to be its service agent subject to the terms and conditions of this agreement, for the sale of the industry machines manufactured by AAA with the brand name of AAA(hereinafter referred to as the “Products” )in the territory of X country(hereinafter referred to as “Territory”). Agent hereby accepts such appointment and shall, during the term of this agreement, render to AAA such sevices, assistance and cooperation as AAA may from time to time deem necessary or useful in relation to the service work (defined below).
1.2    The said appointment shall make on a non-exclusive basis. AAA has the right to appoint , if necessary , any other person for the Service Work(defined below) in the territory.
1.3    Agent has no power or authorization to legally represent AAA, nor to make and entered into any contract(s) with or to make any promise(s) representation(s) to any other third party on behalf of , or in the name of AAA, nor to do anything that will legally bind AAA in any manner or for whatsoever purpose without the specific prior written authorization of AAA.

第1條(委託)
1.1    AAA委託agent 為其服務代理店。Agent在本合同有效期間，遵守本合同的所有條款，在_____境內(以下稱為”許諾地區”)代理AAA製造印有AAA商標的工業用機器。Agent 接受此委託，並在本合同有效期間為AAA提供服務業務，關於本服務業務(以下有定義一被認為是必要或有用的服務)，援助和協助。
1.2    上述服務代理店的委託是非壟斷的。AAA應本服務業務的(以下有定義)需要，有權在許諾地區內委託其他代理店。
1.3    Agent 無權在法律上代表AAA 。agent 不得以AAA代理店或以AAA的名義，與任何第二者締結任何以約定和擔保為目的的合同，其中也包括任何形式的約定與擔保。在事前沒有得到AAA的書面許可情況下，Agent不得以任何方式或以任何目的在法律上限制AAA。


ARTICLE 2 (Role of Agent)
2.1 agent shall perform the following service work (hereinafter referred to as the “Service Work”);
(a) acts as a service agent of AAA for the purpose of promotion the Products ;
(b) provides AAA with useful information for the market of the products;
( c)provides general coordination between AAA and its customers(“Customers”);
(d) assists AAA to enter into contracts with the Customers;
(e) renders to AAA general consultation services concerning the Products.
2.2 agent shall carry out the Service Work with due care, skill, and diligence and in a professional manner.
2.3 agent hereby agrees that it will abide by all applicable laws, rules, orders, and regulations in connection with the performing of this agreement.
2.4 agent may use the trademark of AAA and the products for the performance of the Service Work during the terms of this agreement. Such usage shall be consistent with the AAA Trademark Usage Policy which shall be separately disclosed to Agent. AAA shall have the sole discretion to modify or withdrew such policy .
2.5 agent shall not perform the Service Work outside the territory.


第2條(Agent的作用)
2.1 agent執行以下業務(以下稱為”本服務業務”)
(1) agent 的作為AAA公司的代理店應以促進本商品的銷售為目的。
(2)必需提供AAA公司與本商品相關的有效市場訊息。
(3)提供AAA公司與AAA公司的顧客(以下稱為「顧客」)之間的協調。
(4)協助AAA公司與顧客簽訂合同。
(5)向AAA公司提交有關本商品的一般的諮詢。
2.2 Agent 在執行服務業務時，務必謹慎、熱練、勤奮、並且要用專業的方法。
2.3關於本合同的履行，agent 同意遵守所有適用法律、章程、命令和法規。
2.4在本合同有效期間，agent為履行本服務業務可以使用AAA及本商品的商標。其使用必須遵守單獨向AAA公司公開的AAA商標使用規則。AAA可單方面變更或廢除此規則。
2.5Agent 不得在許諾地區以外執行本服務業務。
